1. Acceptance of these terms

These Terms of Use, together with our Privacy Policy, form a binding agreement between you and Nexa Systems Inc. (operating as Mathulate), referred to in these terms as "we", "us" or "our". The agreement governs your access to and use of Mathulate and its calculators.

By accessing or using the site, including by viewing a page or using a calculator, you accept these terms and the Privacy Policy. If you do not accept them, do not use the site.

If you use the site on behalf of an organisation, you represent that you have authority to bind that organisation to these terms, and "you" includes that organisation.

2. Definitions

In these terms:

• Mathulate means the calculator site operated by Nexa Systems Inc. under that trade name.
• site means Mathulate and every page, calculator, tool, feature, download and service offered on it, at any address we operate.
• calculators means the calculation tools on the site, including their inputs, defaults, formulas, constants, steps, explanations, tables and charts.
• results means any number, figure, table, chart, explanation or other output that a calculator produces.
• you means the person accessing or using the site, and any organisation that person represents.

3. Eligibility

You must be at least 13 years old to use the site, and old enough to form a binding contract where you live (the age of majority). If you are under the age of majority, a parent or guardian must accept these terms on your behalf before you use the site.

If you do not meet these requirements, do not use the site.

4. Licence and permitted use

So long as you comply with these terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the site and its calculators for your own personal, non-commercial use and general information. You may link to our pages, and you may use a result in your own work with a clear credit and a link back to the page you used.

You may not:

• copy, scrape, crawl or harvest the site or its content at volume, or access it with automated means other than a standard browser or a search engine that follows our robots.txt;
• resell, sublicense, redistribute or commercially exploit the site, its content or its results;
• frame, mirror or present the site as part of another service, or remove or obscure our notices and credits;
• reverse engineer, decompile or disassemble any part of the site, except where the law expressly allows it;
• interfere with, overload, probe or attempt to bypass the site's security, rate limits or advertising check;
• use the site to break the law, infringe another person's rights or cause harm to anyone.

6. Your responsibility and assumption of risk

You are responsible for the inputs you enter and for checking a result against the formula, assumptions and sources stated on the page before you use it. You are responsible for any decision you take and for any action based on a result.

You assume the risk of relying on a result. Do not rely on the site where an error could cause death, injury, significant financial loss or property damage unless a qualified professional has independently verified the calculation for your situation.

7. Accuracy, availability and changes

We do not guarantee that any calculator, formula, constant, assumption, worked example or cited source is correct, current, complete or free of error. We work carefully, but the site is a general reference and is not built for your particular case.

Calculators may be corrected, changed, replaced or removed at any time without notice. The site may be changed, paused or discontinued in whole or in part at any time. We do not promise that the site will be available without interruption, that defects will be fixed, or that the site or its server is free of errors or harmful components.

8. Third-party content, links and advertising

The site cites public sources, standards bodies and other websites, and it may display third-party advertising. A link is not an endorsement of everything the linked site says, and an advertisement is paid placement, not a recommendation from us.

We do not control third-party sites and are not responsible for their content, accuracy, products, services or privacy practices. Their own terms and privacy policies apply to your use of them.

9. Intellectual property

The text, design, layout, software, code, charts, illustrations and marks of the site (including the Mathulate name and logo) belong to Nexa Systems Inc. or its licensors and are protected by copyright, trade-mark and other laws.

The mathematical formulas used by the calculators are public mathematical methods and are not claimed as our property; the written explanations, worked examples, presentation and code are ours. Nothing in these terms gives you a licence to use our marks. You may quote a short extract with a credit and a link back to the page, but you may not republish a substantial part of a page, or of the site's code, without our written permission.

If you send us a correction or other feedback, we may use it to improve the site without obligation to you.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the site is provided "as is" and "as available", with all faults and without any warranty, express or implied. We disclaim all implied warranties and conditions, including merchantability, fitness for a particular purpose, accuracy, completeness, title, quiet enjoyment and non-infringement.

We do not warrant that a result will meet your requirements, or that the site will be secure, uninterrupted, timely or error free. Some jurisdictions do not allow the exclusion of implied warranties, so part of this section may not apply to you. Nothing in this section limits a right you have that cannot be waived.

11. Limitation of liability

To the maximum extent permitted by applicable law:

• We, together with our directors, officers, employees, contractors and agents, are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, savings, opportunity, goodwill, data or use, business interruption, personal injury, property damage, or any other loss arising out of or relating to the site, a result or your reliance on a result, whether the claim is in contract, tort (including negligence), statute or otherwise, even if we were advised of the possibility of that loss.
• Our total aggregate liability for all claims relating to the site or these terms, whether in contract, tort or otherwise, is limited to the greater of CAD $100 and the total amount you paid Nexa Systems Inc. in the 12 months before the claim arose. The site is provided free of charge, and these limits reflect that.

Nothing in these terms excludes or limits any liability that cannot be excluded or limited by law, including liability for fraud, fraudulent misrepresentation or wilful misconduct, and, where the law does not permit it to be excluded, gross negligence. Nothing in these terms limits any right you have under the consumer protection legislation of Ontario, Canada or any other consumer protection law that cannot be waived. If you are a consumer, some of the exclusions or limits above may not apply to you.

12. Indemnity

You agree to indemnify, defend and hold harmless Nexa Systems Inc. and its directors, officers, employees, contractors and agents from and against any claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: your misuse of the site; your breach of these terms; your violation of any law or third-party right; or any decision or action you take in reliance on a result.

We may take over the conduct of the defence of any such claim, at your expense, and you will co-operate with us. This section does not require you to indemnify us for our own negligence, misconduct or breach of these terms.

13. Privacy

Our Privacy Policy explains what we collect, why, and how we handle it. It forms part of these terms, and by using the site you consent to the handling described in it. Please read it together with these terms.

14. Termination and suspension of access

We may suspend, restrict or end your access to the site at any time, without notice, if we reasonably believe that you have broken these terms or that your use risks harm to the site, to other users or to anyone else. You may stop using the site at any time.

When your access ends, the licence in section 4 also ends. Sections that by their nature should survive termination continue to apply, including sections 5, 6, 9, 10, 11, 12, 16 and 17. If we suspend access to the site, you may contact us to ask why; we will explain and, where appropriate, restore access.

15. Changes to these terms

We may change these terms at any time. When we do, we post the new version on this page with a new last updated date and, for a material change, a note of what changed. Your continued use of the site after a change means you accept the changed terms. If you do not accept a change, stop using the site.

16. Governing law and venue

These terms, and any dispute arising out of or relating to them, the site or a result, are governed by the laws of Ontario, Canada, meaning the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of laws rules.

Subject to section 11 and to any right you have that cannot be waived, you and we agree that the courts located in Ontario, Canada have exclusive jurisdiction to hear any such dispute, and each of us submits to the jurisdiction of those courts.

Before starting a claim, you agree to contact us at [email protected] or through the contact page and to allow us 30 days to try to resolve the dispute in good faith. This does not prevent either of us from asking a court for urgent injunctive relief, and it does not require you to waive any right you have under the consumer protection legislation of Ontario, Canada.

17. General

Severability. If any provision of these terms is found invalid or unenforceable, it is severed or limited to the minimum extent necessary, and the remaining provisions continue in full force.

No waiver. A failure to enforce a provision is not a waiver of that provision or of any other provision. A waiver is effective only if it is in writing and signed by us.

Entire agreement. These terms and the Privacy Policy are the entire agreement between you and us about the site and replace any earlier understanding or representation about it.

Assignment. You may not assign or transfer these terms without our prior written consent. We may assign these terms to an affiliate, or to a successor in connection with a merger, acquisition, sale of assets or similar transaction. An attempted assignment that breaks this section is void.

No third-party beneficiaries. Apart from the persons named in sections 11 and 12, no other person has any right to enforce these terms.

Language. These terms are written in English, and the English version governs to the extent permitted by law. The parties confirm that they have requested that these terms and all related documents be written in English.
